These Terms and Conditions govern the sale of products and services by AYZ Solutions Technology ("Company") to customers purchasing through our website ayzsolutionstechnology.net.
In these Conditions, the following definitions apply:
Business Days: Monday to Friday (excluding Saturday, Sunday or public holidays) when banks in the United States are open for business.
Calendar Days: Every day of the week except public holidays recognized in the United States.
Conditions: The terms and conditions set out in this document, as amended from time to time.
Contract: The contract between AYZ Solutions Technology and the Customer for the sale and purchase of Goods in accordance with these Conditions.
Customer: The individual, firm, or company purchasing Goods from the Company.
Force Majeure: Events beyond reasonable control that prevent fulfillment of obligations.
Website: ayzsolutionstechnology.net
Products or Goods: Items advertised or sold through the Website.
Goods: The goods (or any part of them) set out in the Order.
Order: The Customer's order for Goods submitted through the Website, via email, telephone, or written purchase order.
Specification: Any specification for the Goods agreed orally or in writing between the Customer and the Company.
In these Conditions, the following rules apply:
2.1 These Conditions apply to the Contract to the exclusion of any other terms the Customer seeks to impose.
2.2 The Order constitutes an offer by the Customer to purchase Goods under these Conditions.
2.3 The Customer is responsible for ensuring the accuracy of all Order details including delivery address and product specifications.
2.4 Any quotation issued by the Company shall remain valid for a period of 24–72 hours unless otherwise specified.
2.5 An Order shall only be deemed accepted when AYZ Solutions Technology confirms the order in writing or verbally.
2.6 The Contract constitutes the entire agreement between the parties.
2.7 Samples, drawings, and marketing materials are for illustrative purposes only and shall not form part of the Contract.
2.8 Cancellation of Orders placed by commercial Customers is subject to approval by AYZ Solutions Technology.
2.9 The Customer confirms that any payment instrument used belongs to them and that sufficient funds are available.
2.10 Where Goods are exported from the United States, applicable U.S. export regulations shall apply.
3.1 Goods are described on the Website and may be modified by agreed Specifications.
3.2 Where Goods are manufactured according to Customer specifications, the Customer agrees to indemnify the Company against any intellectual property infringement claims.
3.3 The Company reserves the right to amend product specifications to comply with applicable United States regulatory requirements.
4.1 The Company shall deliver Goods to the delivery address specified in the Order.
4.2 Delivery is deemed complete upon arrival at the delivery location.
4.3 Delivery dates are estimates and are not guaranteed.
4.4 If the Company cannot deliver Goods, the Customer may cancel the Order or select alternative Goods.
4.5 Liability for failure to deliver shall be limited to the cost of replacement goods of similar quality.
4.6 If the Customer fails to accept delivery within three Business Days, delivery shall be deemed completed.
4.7 If delivery is not accepted within ten Business Days, the Company may resell or dispose of the Goods.
4.8 The Company may deliver Goods in installments.
5.1 Goods may be subject to minor variations in dimensions or quantities.
5.2 The Customer may not reject the entire shipment where only part of the Goods are affected.
5.3 The Company may deliver up to 5% more or less than the ordered quantity.
6.1 Warranty periods are determined by the manufacturer of the Goods.
6.2 If defects are discovered, the Customer must notify the Company in writing within a reasonable time.
6.3 The Company shall not be liable for defects caused by misuse, improper installation, modification, or failure to follow manufacturer instructions.
6.4 Except as provided in this clause, the Company shall have no liability for Goods failing to meet warranty requirements.
6.5 Any implied warranties under applicable United States commercial law apply only where legally required.
6.6 These Conditions apply to replacement or repaired Goods.
6.7 Returns of unwanted Goods may be accepted at the Company's discretion.
6.8 Returned Goods must be unopened and in resalable condition within seven days of delivery.
6.9 Returned Goods may be subject to a restocking fee of 15% or $25 USD, whichever is greater.
